# Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "Merchant") and SimpleSuite ("Subscription Suite," "we," "us," or "our"), governing your access to and use of the Subscription Suite application and related services made available through the Shopify platform (the "Service").

By installing, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, and that you have the authority to enter into these Terms on behalf of yourself or the business you represent. If you do not agree, do not install or use the Service.

These Terms incorporate our Privacy Policy by reference.

### 1. The Service

Subscription Suite is a Shopify application that enables merchants to create and manage product subscriptions, including recurring billing, customer self-service portals, failed-payment recovery, analytics, and related functionality. We may add, modify, or remove features from time to time. We will not make changes that materially reduce the core functionality available on your current plan without notice.

### 2. Eligibility and Account

To use the Service, you must have an active Shopify store and comply with Shopify's own terms and policies. You are responsible for maintaining the security of your store and account, and for all activity that occurs under your account.

### 3. Fees and Billing

The Service offers a free plan and paid plans. All fees for the Service are billed and collected through Shopify's Billing API in accordance with the plan you select. By selecting a paid plan, you authorize Shopify to charge the applicable recurring fees to your Shopify account.

Subscription Suite does not charge transaction fees on your subscription revenue (0% transaction fees). Payment processing for your own customers' subscription orders is handled entirely through Shopify's checkout and payment systems; we do not process or hold those funds.

Plan fees are billed in advance and are non-refundable except where required by law or expressly stated otherwise. You may change or cancel your plan at any time through Shopify; cancellation takes effect at the end of your current billing cycle, and uninstalling the app stops future charges.

### 4. Merchant Responsibilities and Subscription Compliance

You are solely responsible for your own subscription offerings and your relationship with your customers. In particular, you are responsible for:

* **Auto-renewal and consumer-protection compliance.** You acknowledge that recurring-billing and automatic-renewal offerings are subject to laws and regulations in the jurisdictions where you sell, including (without limitation) the California Automatic Renewal Law and similar US, EU, and other consumer-protection rules. You are responsible for clearly disclosing your subscription terms, obtaining valid customer consent, providing required renewal notices, and offering a compliant cancellation method. Subscription Suite provides tools to help, but compliance with these laws is your responsibility as the seller, not ours.
* **Refunds, disputes, and customer service.** You are responsible for setting and honoring your own refund, cancellation, and shipping policies, and for handling your customers' inquiries, refunds, chargebacks, and disputes.
* **Taxes.** You are responsible for determining, collecting, and remitting all taxes applicable to your sales.
* **Lawful content and use.** You will use the Service only for lawful purposes and will not use it to sell prohibited products or in any way that violates applicable law, third-party rights, or Shopify's policies.

### 5. Third-Party Services

The Service integrates with Shopify and may integrate with third-party services you choose to connect, such as Klaviyo, Omnisend, or Drip. Your use of any third-party service is governed by that provider's own terms and privacy policy. We are not responsible for the availability, accuracy, or conduct of any third-party service, and any dealings between you and a third-party provider are solely between you and them.

### 6. Intellectual Property

We (and our licensors) own all rights, title, and interest in and to the Service, including all software, technology, designs, trademarks, and related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business purposes during the term of your use, subject to these Terms. You may not copy, modify, reverse-engineer, resell, or create derivative works of the Service.

You retain all rights to your own data and content ("Merchant Data"). You grant us a limited, non-exclusive license to use, process, and store Merchant Data solely to provide and improve the Service, as further described in our Privacy Policy.

### 7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements. You use the Service at your own risk.

### 8. Limitation of Liability

To the maximum extent permitted by law, in no event will Subscription Suite be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service, regardless of the theory of liability and even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) USD 100.

### 9. Indemnification

You agree to indemnify and hold harmless Subscription Suite and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Merchant Data, your subscription offerings to your customers, or your breach of these Terms or of applicable law.

### 10. Term and Termination

These Terms apply for as long as the app is installed on your store. You may terminate at any time by uninstalling the app. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Service unlawfully.

Upon termination, your license to use the Service ends, and we will handle your data in accordance with our Privacy Policy and Shopify's data-retention requirements (including deletion following Shopify's compliance webhooks). Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

### 11. Governing Law and Jurisdiction

**11.1 General.** These Terms, and any dispute arising out of or relating to these Terms or the Service, are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. The courts located in New Delhi, India will have jurisdiction over any such dispute, and you consent to that jurisdiction and venue.

**11.2 Additional terms for merchants located in the United States.** This subsection applies only if you are a merchant located in the United States. As an alternative to Section 11.1, you and Subscription Suite agree that any dispute arising out of or relating to these Terms or the Service may, at the electing party's option, be brought exclusively in the state or federal courts located in \[STATE/COUNTY, e.g. New Castle County, Delaware], and that the laws of \[STATE, e.g. Delaware] will govern that dispute, without regard to its conflict-of-laws principles. This subsection is intended to offer US merchants a familiar forum and choice of law; its scope and enforceability should be confirmed with counsel.

### 12. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the "Last Updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
